Notice of ownership, intellectual property, and affiliated personnel

1.Purpose and scope

This notice (the “Notice”) records the ownership and operating structure of the Oluna brand and the status of the individuals and organizations who appear on, contribute to, or perform services in connection with it.

The Notice applies to this website and its subdomains; to every social media account, channel, handle, and profile operated under the Oluna name; and to all materials published, distributed, or presented under that name, in any medium (together, the “Oluna Properties”).

2.Ownership and operation

Oluna is a brand and trade name owned, operated, and controlled by The Brandsmen (the “Owner”). Oluna is not a separately owned enterprise, partnership, or joint venture, and no person other than the Owner holds an ownership interest in it.

All business conducted under the Oluna name is conducted by the Owner and for the Owner’s benefit. The Owner alone directs the strategy, operations, finances, personnel, and public presentation of the Oluna Properties.

3.Proprietary assets

All assets associated with the Oluna Properties are, and remain, the sole and exclusive property of the Owner (the “Proprietary Assets”). The Proprietary Assets include, without limitation:

1. this website, its domain names, hosting, source code, design, structure, and content;
2. every social media account, page, channel, and handle operated under the brand, together with its audiences, followers, and all content published through it;
3. graphics, logos, marks, trade dress, templates, photography, video, audio, and all other creative works;
4. processes, methodologies, frameworks, playbooks, and operating systems, including the 10-Stage Marketing Operating System;
5. reports, analyses, research, data, dashboards, performance records, and the accounts and systems that produce them;
6. software, tooling, automations, configurations, prompts, models, and artificial-intelligence-assisted workflows, together with their outputs;
7. client relationships, agreements, records, and the goodwill associated with the brand; and
8. all accounts, credentials, and administrative access relating to any of the foregoing.

No right, title, license, or interest in any Proprietary Asset is granted or implied by its appearance on the Oluna Properties, by any person’s access to it, or by any person’s association with the brand.

This section does not alter the client-deliverable terms of individual service agreements, under which custom deliverables, content, and website assets created specifically for a client become that client’s property upon final approval and full payment.

4.Affiliated personnel and outside contributors

The Owner may engage individuals and organizations to assist with the Oluna Properties. Unless a person is a direct employee of the Owner, any person who appears on, is named on, contributes to, or performs services in connection with the Oluna Properties, including any person presented with a title, role, biography, byline, or photograph, is an independent contractor or outside affiliate engaged by the Owner (an “Affiliated Contributor”).

Each Affiliated Contributor:

1. is not an employee, officer, director, member, partner, or owner of Oluna or of the Owner;
2. holds no ownership, equity, profit, or other proprietary interest in Oluna, in the Owner, or in any Proprietary Asset;
3. does not own, operate, control, or manage the Oluna Properties or any part of them;
4. performs services on behalf of, and at the direction of, the Owner;
5. may not bind the Owner or hold themselves out as its agent, except as the Owner expressly authorizes in writing; and
6. creates all work product for the Oluna Properties for the Owner, which holds that work product as provided in the written agreement governing the engagement.

A title, role, biography, byline, or photograph shown on the Oluna Properties describes a person’s part in the work for the public. It does not, by itself, denote employment, ownership, or authority to act for the Owner.

5.Employees of the Owner

Persons directly employed by the Owner act within the scope of their employment and under the Owner’s authority. Employment status is determined solely by the Owner’s employment, payroll, and tax records, not by any public presentation.

For clarity, persons engaged on an independent-contractor basis, including persons who furnish an IRS Form W-9 to the Owner, are Affiliated Contributors under Section 4 and are not employees.

6.Trademarks and brand use

The Oluna name, mark, logo, and tagline are trademarks, service marks, or trade names of the Owner, whether or not registered. They may not be used, reproduced, or modified without the Owner’s prior written permission.

An Affiliated Contributor may use the brand only within the scope and for the duration of their engagement, at the Owner’s direction, and must cease all use when the engagement ends.

7.No partnership, agency, or joint venture

Nothing on the Oluna Properties, and no engagement of an Affiliated Contributor, creates a partnership, joint venture, agency, franchise, or employment relationship between the Owner and any Affiliated Contributor, client, or visitor.

8.Relationship to other notices and agreements

This Notice supplements the other notices and disclaimers published under the Oluna name and the individual service agreements between the Owner and its clients. As to the ownership and operation of the Oluna Properties, this Notice controls. As to client deliverables, the applicable service agreement controls.

9.Effective date and amendments

This Notice is effective as of May 21, 2026 and applies to the Oluna Properties from their inception. The Owner may amend it at any time by posting a revised version with a new version number and effective date. The version posted on this page is the operative version.
